The TOPAZ plant in Chisinau found itself in the middle of a major conflict after two distinct groups claimed the right to run the enterprise. Acting administrator Inna Linnik in a news conference hosted by IPN said that the Public Services Agency did not recognize the validity of the new management, appointed by a self-proclaimed board of directors, which means that, legally, the enterprise does not have a registered management – IPN notes.
„”It is a serious situation. There are two groups that assume the leadership role, two people who sign on behalf of the company and make decisions in parallel, without a clear legal basis. This blocks the normal operation of the plant and endangers the integrity of the property,” said Inna Linnik.
According to her, the administrative control was forcibly taken over at the general meeting of shareholders, which was illegal and was not validated by the court and the competent authorities. “It is a meeting convened by people who did not have this right. Subsequently, one of the participants proclaimed himself general manager and began to sign on behalf of the company. And what is worse our team was banned access to the plant’s premises. We had to call the police.”
Inna Linnik drew attention to the fact that, in the absence of a management legally recognized by the Public Services Agency, the enterprise operates in a gray area, with major risks: “The PSA did not register the management appointed by the group that organized the meeting. From a legal point of view, at the moment the company does not have a valid management. This means that no signed document has legal value and we expose ourselves to total chaos.”
Linnik noted that, in the absence of supervision, the plant’s assets – buildings, equipment and land – could be sold or compromised: “The company’s assets are worth tens of millions of lei. In the current conditions, we do not know who signs, what contracts are concluded, what decisions are made. It is a problem of economic security.”
The acting administrator of the plant said that she informed the competent institutions and asked for the urgent intervention of the state. “We sent notifications to the National Commission for Financial Markets, the Public Property Agency and other institutions. We ask for their intervention to stop this crisis, which risks destroying the plant and seriously harming shareholders and employees.”
